SECTION 01 // SCOPEBINDING AGREEMENT
Order Acceptance & Purchase Orders
These Terms of Sale govern all quotations, sales orders, purchase order acknowledgments, and shipments executed by Semiqor LLC. Acceptance of any purchase order issued by the Buyer is strictly conditional upon Buyer assent to these terms.
Any conflicting, contradictory, or supplementary provisions included in a Buyer purchase order or standard purchasing documentation are expressly rejected and shall have no legal force unless explicitly accepted in a separate written agreement signed by an authorized executive officer of Semiqor LLC.
QUOTATION VALIDITY
Spot Market Quotes
Due to rapid market fluctuations in allocated semiconductors, formal price quotations remain firm for 48 hours unless otherwise noted.
ORDER CONFIRMATION
Written Validation
Orders become binding only upon issuance of our official Sales Order Confirmation referencing confirmed part numbers and date codes.
SECTION 02 // FINANCIALUSD SETTLEMENT
Pricing, Currency & Payment Terms
All prices are quoted and payable in United States Dollars (USD), exclusive of applicable federal, state, or municipal taxes, customs duties, value-added taxes (VAT), or freight insurance.
Standard Settlement: Advance Wire Transfer (T/T), Automated Clearing House (ACH), or confirmed Letter of Credit (L/C) prior to dispatch.
Commercial Net Terms: Net 30 days credit terms may be extended to approved defense primes, aerospace contractors, and Fortune 500 manufacturers following thorough credit evaluation.
Delinquent Accounts: Overdue balances accrue late interest charges at the rate of 1.5% per month (18% per annum) or the maximum legal limit permitted by Texas state law, alongside recovery of reasonable legal collection costs.
SECTION 03 // LOGISTICSEX WORKS / FOB
Delivery, Title & Risk of Loss
Unless otherwise agreed in writing, all deliveries are executed Ex Works (EXW Incoterms 2020) or Free on Board (FOB Origin) from our Houston distribution facility (3100 Wilcrest Dr, Suite 253 B, Houston TX 77042). Risk of loss and title to the components transfer to Buyer immediately upon tender of the consignment to the commercial freight carrier.
All shipments are packed in rigid compliance with ANSI/ESD S20.20 and J-STD-033 moisture-sensitivity standards, utilizing vacuum-sealed moisture barrier bags (MBB), desiccant packs, humidity indicator cards, and serialized anti-tamper security tape.
SECTION 04 // CORE WARRANTYCONFORMANCE PROTECTION
Form, Fit & Function Component Warranty
Semiqor provides a comprehensive Form, Fit, and Function limited warranty for all delivered active and passive components, commencing on the date of original physical delivery to Buyer.
FORM, FIT & FUNCTION COVERAGE
Semiqor warrants that all components supplied are genuine, authentic, and compliant with the original component manufacturer (OCM) datasheet electrical, mechanical, and thermal performance parameters. If any component exhibits functional failure or non-conformance during this period, Semiqor provides immediate remedy: replacement from certified stock or a 100% full refund.
Authenticity Guarantee: Material is warranted free from counterfeit markings, blacktopping, remarking, cloned dies, and unauthorized refurbishing.
Remedy Scope: At Semiqor sole option, we will either replace non-conforming parts with forensically tested lots or credit Buyer account for the full invoice price.
Exclusions: Warranty does not cover material subjected to unauthorized circuit programming, soldering reflow, physical lead modification, mishandling, electrostatic discharge (ESD) exposure, or improper storage conditions.
SECTION 05 // RETURN MATERIALLAB AUTHORIZATION
Receiving Inspection & RMA Protocol
Buyer is entitled to a 30-day initial receiving window to inspect shipments for quantity discrepancies, exterior transit damage, or packaging seal anomalies. Any claims must be submitted to our Quality Assurance department within this window.
For any warranty claim arising during the applicable warranty period, Buyer must adhere strictly to our Return Material Authorization (RMA) procedure:
RMA Number Issuance: No returns will be accepted without an official, written RMA number issued by the Semiqor Houston QA facility.
Failure Analysis Report: Claims for electrical failure must be accompanied by an engineering test report or curve trace data documenting non-conformance.
Packaging Requirements: Returned components must be packed in their original, undamaged ESD-safe packaging with Semiqor lot barcodes and intact tamper-evident seals.
Houston Verification: Returned material is subject to re-examination through certified AS6081 and ISO 17025 accredited laboratories before credit or replacement is finalized.
SECTION 06 // COMPLIANCEEXPORT CONTROLS
ITAR & EAR Export Control Compliance
Semiqor strictly complies with United States national security and export control laws. Electronic components sold by Semiqor may be regulated under the Export Administration Regulations (EAR, 15 CFR Parts 730-774) or the International Traffic in Arms Regulations (ITAR, 22 CFR Parts 120-130).
STRICT PROHIBITION ON UNLICENSED EXPORTS
Buyer warrants that it will not export, re-export, divert, or transfer any goods, software, or technical data acquired from Semiqor to any embargoed destination, sanctioned country, or restricted party listed on the U.S. Department of Commerce Entity List or U.S. Department of the Treasury OFAC Specially Designated Nationals (SDN) list without prior U.S. government authorization.
SECTION 07 // LIABILITYLIABILITY CAP
Limitation of Liability
In no event shall Semiqor LLC, its officers, directors, employees, or affiliates be liable to Buyer or any third party for any special, indirect, incidental, punitive, or consequential damages of any kind, including without limitation loss of profits, loss of data, production downtime, recall costs, or replacement manufacturing labor.
The aggregate and cumulative liability of Semiqor arising out of or related to any purchase order or sale of components, whether based on contract, tort (including negligence), strict liability, or breach of warranty, shall not exceed the actual purchase price paid by Buyer for the specific lot of components giving rise to the claim.
SECTION 08 // JURISDICTIONTEXAS VENUE
Governing Law & Dispute Resolution
These Terms of Sale and all transactions between Semiqor LLC and Buyer shall be governed by, interpreted, and enforced in accordance with the laws of the State of Texas, United States of America, without regard to its principles of conflicts of law.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly disclaimed and shall not apply. The state and federal courts located in Harris County, Texas shall have exclusive jurisdiction and venue over any litigation, controversy, or claim arising out of these terms.
